Welcome to Amby — a wellness and longevity platform designed to help individuals build healthy daily habits, track their progress, and earn rewards. These Terms of Use (“Terms”) govern your access to and use of the Amby Mobile App (“App”) and associated services, including AI-generated wellness insights and the Amby Rewards Program. By using the App, you agree to these Terms and acknowledge that you understand and accept the responsibilities, risks, and requirements outlined below.

1. Agreement to Terms

By creating an Amby account or using the App, you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, you must discontinue use of the App immediately. These Terms apply to all users, regardless of location, with initial availability in the United States and Hong Kong.

2. Health and Safety

Amby promotes wellness through self-guided activities, but it is not a medical organization and does not provide medical advice, diagnosis, or treatment. You are solely responsible for ensuring that any activity logged or recommended through the App is appropriate for your health and fitness level. Always consult a qualified healthcare professional before beginning or modifying any exercise, diet, or wellness routine. Amby is not liable for any injury, illness, or harm that may occur from participation in activities tracked within the App.

3. Eligibility for Participation

To use the Amby App, you must be at least 18 years old or the age of majority in your jurisdiction. You must also have a valid email address and compatible mobile device. The App is currently available to users in the United States and Hong Kong, but availability may expand to other regions. Access and functionality may vary by location due to local laws or technical restrictions.

4. Participation Discretion

Amby reserves the right, at its sole discretion, to suspend, restrict, or terminate access to any user account for violations of these Terms, suspicious activity, misuse of the system, or other reasons deemed necessary to protect the integrity of the platform.

5. Account Creation and Data Management

By creating an account in the Amby Mobile App, you authorize us to collect and process your data as described in our Privacy Policy. This includes information related to your habits, logged activities, rewards, and AI-generated insights. Your account remains active to preserve your historical data and reward records unless you request deletion. Account deletion requests can be made at any time in accordance with our privacy and data retention policies.

6. Medical Advice Disclaimer

Amby does not diagnose, treat, or cure any medical condition. The AI insights and recommendations provided within the App are intended for general informational and motivational purposes only. They should not replace medical advice, diagnosis, or treatment from a licensed healthcare professional. Always seek professional guidance before making significant lifestyle or health decisions.

7. System Abuse

Users found engaging in abuse of the App or rewards system — including but not limited to hacking, cheating, falsifying habit data, using automated scripts, or manipulating AI outputs — may be immediately disqualified, suspended, or permanently banned. Amby reserves the right to revoke points, rewards, or account access if fraudulent or misleading activity is detected.

8. Service Availability

We aim to provide reliable access to the Amby App and related services; however, we do not guarantee uninterrupted operation or error-free performance. Availability may be affected by factors outside our control, including internet connectivity, mobile-network coverage, third-party platform downtime, or maintenance activities. We may suspend or limit access temporarily for updates, bug fixes, or security reasons.

9. Modification of Activities

Amby reserves the right to modify, add, or remove the categories of fitness, nutrition, sleep, mindfulness, or lifestyle activities eligible for earning points at any time, with or without prior notice. These adjustments help keep the program aligned with current health standards, user feedback, and evolving wellness research. By using the App, you acknowledge that eligible activities and their corresponding point values may change at our discretion. We encourage you to review in-app updates regularly to stay informed about any modifications.

10. Adjustments to the Points System

Amby may modify the Amby Points system, reward tiers, or AI-based scoring algorithms at any time without prior notice. Our algorithms are designed to ensure fairness and sustained motivation, and points awarded for similar activities may vary due to behavioral trends, participation frequency, or promotional campaigns. By participating in the Amby Rewards Program, you acknowledge that point calculations and adjustments may change over time and may not always be fully transparent or predictable.

11. Point Expiration and Redemption

By using the Amby Rewards Program, you agree to the following rules regarding point expiration and redemption:

1. Points may accumulate continuously within your account and are redeemable once you reach the thresholds shown in the App for each reward tier.
2. Unless otherwise stated, points will expire twelve (12) months after the date they are earned.
3. Expired points cannot be reinstated, transferred, or exchanged for cash or other value.
4. Amby may, at its discretion, adjust expiration timelines during limited-time events or promotions.
5. It is your responsibility to monitor your point balance and redeem rewards before expiration.

12. Program Cessation

Amby reserves the right to suspend or terminate the Rewards Program, or any portion of the App, at any time. We will make reasonable efforts to provide notice through in-app announcements or email, but such notice is not guaranteed. Upon cessation, unused points and unclaimed rewards may expire without compensation.

13. Reward Availability

All rewards are subject to availability and may vary by region or partner. Amby may substitute, modify, or remove rewards at any time without notice. Certain rewards, such as digital gift cards or charitable donations, are fulfilled through third-party partners (e.g., Tremendous) and may be governed by their own terms and conditions.

14. Reward Processing Time

We aim to process most redemptions within seventy-two (72) hours; however, this timeframe is a target and not a guarantee. Processing times may vary depending on reward type, partner response, and verification steps. Amby is not liable for delays or losses arising from third-party systems or service interruptions.

15. Changes to Terms

Amby may revise these Terms of Use at any time. Updated versions will be posted on our website and within the App, with the “Effective Date” revised accordingly. Continued use of the App after any change constitutes acceptance of the updated Terms. We recommend reviewing this page periodically to remain informed.

We encourage all users to read the Privacy Policy carefully before using the App.

18. Prohibited Use

You agree not to use the Amby App, website, or any related services for any unlawful or prohibited purpose. This includes but is not limited to activities that:

1. Violate applicable laws or regulations in the United States, Hong Kong, or your local jurisdiction.
2. Involve hacking, tampering, or unauthorized access to Amby systems or user accounts.
3. Promote or engage in fraudulent, misleading, or harmful behavior.
4. Attempt to interfere with the operation, security, or integrity of the App.

19. Liability for Misuse

You are solely responsible for your use of the Amby App and Rewards Program. Amby disclaims all liability for any misuse, illegal activity, or violation of these Terms by any user. We reserve the right to suspend or terminate accounts involved in misuse and to cooperate with law enforcement as required.

20. Ownership and Operation

The Amby Mobile App, the Amby Rewards Program, and the website Ambywell.com are owned and operated by Amby Limited, a company incorporated under the laws of the Hong Kong Special Administrative Region (HKSAR). Amby Limited manages and maintains all rights related to the App, including technology, data, design, and intellectual property.

21. Intellectual Property Rights

All content, designs, graphics, logos, and trademarks displayed on or through the Amby App and website—including the names “Amby” and “Ambywell.com”—are the exclusive property of Amby Limited or its licensors. These materials are protected by international copyright and trademark laws. You may not copy, distribute, modify, or use any part of Amby’s intellectual property without prior written consent from Amby Limited.

22. Marketing Communications Consent

By using the Amby App, you consent to receive occasional updates, promotional content, or partnership announcements from Amby. You may opt out of marketing communications at any time through the unsubscribe link provided in emails or by contacting team@ambywell.com.

23. Merchant and Partner Disclaimer

Amby partners with third-party reward fulfillment platforms such as Tremendous to issue and manage gift cards, vouchers, and charitable donations redeemed through the Amby Rewards Program. Amby itself is not affiliated, associated, authorized, endorsed by, or in any way officially connected with the individual merchants whose gift cards or products are made available via Tremendous. All merchant names, brands, and logos are the property of their respective owners. The inclusion of any merchant gift card as a reward option does not imply endorsement or partnership by that merchant. Any questions or issues related to a merchant’s product or service should be directed to the respective merchant or Tremendous support.

24. Use of Name and Competitive Activity

Users and participants may not use the Amby name, brand, or related materials to misrepresent, defame, or harm the reputation of Amby Limited. Additionally, users may not create, promote, or participate in competing services that replicate or substantially imitate the Amby platform without prior written consent from Amby Limited.

25. Governing Law

These Terms are governed by and interpreted in accordance with the laws of Hong Kong S.A.R. For users located in the United States, these Terms shall also comply with applicable federal and state laws where required. Any disputes will be subject to the exclusive jurisdiction of the courts of Hong Kong S.A.R.

26. Language

In the event of any discrepancy between the English version and any translated version (including Traditional Chinese), the English version shall prevail.
